The company was registered on January 20, 2023; the license was obtained on December 27, 2024. The company has not started operations yet as, in 2025, the requirements for the share capital increased, the amount of state fees changed, and there is now a requirement for a back and middle office in Seychelles with qualified staff employed, who are willing to stay and help with the company’s development (an auditor, director, compliance officer, and representative have been appointed).
The company is in good standing, has filed and keeps all necessary reports, and can provide them. The audited financial statement must be submitted to the Regulator no later than March 31, 2026. The declared share capital of the company is $100,000, which has not been paid yet and must be paid by June 30, 2026. The funds are not blocked on the bank account and can be used for operational activities; at the same time, their contribution will be reflected on the company’s balance sheet as paid share capital.
The company’s bank account is not yet opened. It must be opened first, and then the share capital payment can be made either immediately or by June 30, 2026, at the client’s discretion. The opening of the bank account is included in the company price.
Preliminary changes will need to be made: shareholders will need to be changed in any case, directors, compliance officer, auditor, and representative — at the client’s discretion. The client can keep the current individuals who wish to stay or appoint their own representatives. The company name can also be changed if the client desires. Changes are included in the company price. Changing the company name takes about 2 weeks, changing directors and shareholders takes around 1 month but may take longer if the Regulator has questions about the candidates or documents.
The state fees for the license renewal in 2025 must be paid — $6,000 for the main SDL license and $750 for the representative. A request for the deferral of the fee payment due to the company sale has been submitted. The payment for 2026 will be due in January 2026.
The cost of monthly company maintenance is approximately $8,000, including office space, local director, and compliance officer.
There are other operational requirements that the company must comply with, such as the presence of a trading platform, CRM, and insurance coverage for professional employees. If professional insurance for the company’s activities is needed, the cost of insurance will be approximately $4,000–$5,000.
